Thailand Insolvency & Debt Recovery
Bankruptcy, Debt & Insolvency
Financial distress creates hard decisions and tight timelines. Whether you are a business fighting to survive, a creditor trying to recover what you are owed, or a director or shareholder navigating an insolvent company, the goal is the same: preserve as much value as possible, as quickly as possible.
Get Strategic AdviceTwo Very Different Journeys
Insolvency law sits at the intersection of two entirely different client situations. A distressed company and its directors need to understand what routes exist to save the business — and which protect them personally. A creditor needs to know how to enforce a debt, what their priority is, and whether legal action is actually worth pursuing.
These are different problems that need different strategies. We advise on both, and we are clear about the tension between them when they arise in the same situation.
Act Before Options Disappear
In a distressed situation, time destroys value. Assets get dissipated, key staff leave, suppliers withdraw credit, and creditors take unilateral action. The range of available options shrinks by the week. Early advice — while the business is still viable and directors still have room to manoeuvre — almost always produces a better outcome than advice sought when a creditor is already at the door.
For creditors, the same principle applies. The earlier you move on a delinquent debt, the more likely you are to collect.
Business Rescue & Restructuring
When a viable business runs into financial trouble, the priority is to preserve that viability — protecting jobs, shareholder value, and the interests of creditors who are better off with a going concern than a liquidation. Thailand offers several routes to do this, each with different protections and requirements.
Business Rehabilitation (Court-Supervised Reorganisation)
Thailand's closest equivalent to Chapter 11 — court-supervised protection while a restructuring plan is negotiated
A company that is insolvent or facing imminent insolvency, but is fundamentally viable, can apply to the Central Bankruptcy Court for rehabilitation proceedings. Once the court accepts the petition, an automatic stay comes into effect — creditors cannot enforce debts, commence proceedings, or execute judgments against the company while rehabilitation is underway. This breathing space is the most powerful tool available to a distressed business.
A court-appointed planner (which can be the existing management or an independent third party) prepares a restructuring plan and presents it to creditors. If the plan is approved by the requisite majority and confirmed by the court, it binds all creditors — including dissenters. Once successfully completed, the company emerges from rehabilitation free of the restructured obligations.
Key features
- Automatic stay of all creditor action
- Existing management may remain as planner
- Plan binds all creditors on court approval
- Threshold: debts of THB 10M or more
- Court supervision throughout the process
- Director liability protection during proceedings
SME & Pre-Packaged Restructuring
A faster, more streamlined path where business and key creditors agree a plan before formal proceedings begin
Smaller businesses — or those with a concentrated creditor base — can often achieve a better outcome through an out-of-court restructuring or a pre-packaged plan that is then ratified through court proceedings. This avoids the full cost and publicity of formal rehabilitation while still providing legal certainty once agreed.
Thailand has introduced specific provisions for SME business rehabilitation with lower debt thresholds and simplified procedures. Where the creditor pool is manageable and key lenders or trade creditors are willing to negotiate, a pre-packaged or consensual restructuring is usually faster, cheaper, and less disruptive to the ongoing business than full court-supervised rehabilitation.
Informal Workout & Creditor Negotiation
Negotiated restructuring without formal proceedings — where speed and confidentiality matter most
Not every restructuring needs court involvement. Where the company has time, a manageable creditor base, and creditors who prefer a negotiated outcome to a formal process, an informal workout — rescheduling debt, agreeing payment plans, converting debt to equity, or negotiating a discounted settlement — can be the most value-preserving route of all. We structure, negotiate, and document informal workouts, and advise on when to escalate to a formal process if creditors become uncooperative.
Debt Recovery & Creditor Enforcement
Being owed money by a company that cannot or will not pay requires a clear-eyed strategy. Not every debt is recoverable, and not every enforcement route is worth pursuing. We advise creditors on the realistic options, the likely returns, and how to move quickly enough to protect their position.
Demand & Pre-Litigation Recovery
A properly drafted letter of demand — clearly stating the debt, the legal basis, and the consequences of non-payment — resolves a surprising number of disputes without further action. It also establishes the paper trail required for any subsequent proceedings. We draft and issue these with appropriate legal weight.
Civil Litigation & Judgment Enforcement
Where demand fails, commencing civil proceedings for debt recovery and pursuing enforcement of any judgment obtained. This includes attachment of assets, garnishment of bank accounts, and execution against property. We work with qualified Thai litigation counsel and manage the process end-to-end.
Involuntary Bankruptcy Proceedings
Where a debtor company owes at least THB 2 million and has not paid, a creditor can petition the court to adjudicate the debtor bankrupt. This triggers an official receiver process and gives all creditors a seat at the table. The threat of bankruptcy proceedings alone often produces payment or a negotiated settlement from debtors who had previously stonewalled.
Secured Creditor Rights
If you hold security — a mortgage, pledge, or other collateral — your enforcement rights and priority in insolvency are significantly different from those of an unsecured creditor. We advise secured creditors on how to enforce their security effectively and how their position is treated in rehabilitation and bankruptcy proceedings.
Creditor Participation in Rehabilitation
If a debtor company enters rehabilitation, creditors do not become powerless — they vote on the restructuring plan and can challenge provisions that unfairly disadvantage their class. We represent creditors in rehabilitation proceedings, advise on plan terms, and pursue objections where the plan does not adequately protect creditor interests.
Fraud, Asset Dissipation & Tracing
Where assets have been moved, concealed, or dissipated before or during insolvency proceedings, creditors have legal tools to challenge those transactions and recover value. This includes clawback of transactions at undervalue, recovery from connected parties, and parallel criminal complaints where misconduct is involved. See our Dispute Resolution page for more on fraud and asset recovery.
Is it worth pursuing?
Not every debt collection exercise is economically rational. Before committing to litigation or formal proceedings, we help creditors assess the realistic recovery prospects — what assets does the debtor actually have, what is the creditor's priority, and what will the process cost? An honest answer to those questions upfront saves significant time and money.
Stakeholder Strategy
In a distressed situation, different stakeholders have different interests — and sometimes conflicting ones. We advise each clearly on where they stand, what their options are, and what the likely outcomes of each path look like.
Directors
Navigating director duties in insolvency — including the shift in duty from shareholders to creditors when a company becomes insolvent, personal liability risks, wrongful trading, and the protections available through formal proceedings. Acting correctly and promptly is critical.
Shareholders
Understanding the real value of an equity position in a distressed company, options for injecting capital or facilitating a sale, and when a controlled wind-down or pre-pack sale preserves more value than formal proceedings.
Trade Creditors
Practical advice on protecting ongoing supply relationships while enforcing overdue debts — including whether supporting a rehabilitation is better than forcing a bankruptcy where recovery may be minimal.
Lenders & Financial Creditors
Enforcing loan terms, accelerating obligations, exercising security rights, and navigating rehabilitation proceedings as a major creditor with leverage over the outcome of any restructuring plan.
